Blackstone-affiliated entities sold 3,767,776 Bumble shares on September 28, 2026, in forward transactions priced at about $2.94 per share, generating roughly $11.1 million in proceeds. The sales were disclosed across seven affiliated holding partnerships; one filing reported that the Blackstone-linked major shareholder retained 16,120 shares after the transaction. Separate Form 144 notices indicated further potential sales: BX Buzz ML-5 Holdco proposed a sale of up to 3,278,961 shares, while BX Buzz ML-4 Holdco proposed selling up to 1,080,902 shares. The notices describe forward-sale arrangements, including one tied to a Rule 10b5-1 trading plan.
The completed sales were post-paid forward transactions with an unaffiliated financial institution; the final price was $2.9381 per share, based on the volume-weighted average price during the institution’s hedging period.
BX Buzz ML-5 Holdco’s proposed sale is to be made through UBS Securities LLC as a physically settled forward under a Rule 10b5-1 plan adopted on November 26, 2025. The shares came from two exchanges of Buzz Holdings L.P. common units in August and November 2025.
For BX Buzz ML-4 Holdco’s proposed forward sale, the filing says the actual number of shares would depend on the volume-weighted average price over an averaging period relative to an agreed limit price, subject to the stated maximum.
The ML-4 filing describes Blackstone and certain affiliates as significant equityholders of Bumble and says two executives from a seller affiliate serve on Bumble’s board.
