AIxCrypto has signed a term sheet to acquire Faraday Future robotics assets for $200 million.

AIxCrypto has signed a nonbinding term sheet to acquire Faraday Future’s robotics assets and businesses in an all-stock transaction, with the proposed combined company to be renamed FF EAI Robotics Ecosystem and trade under the ticker FFR. The deal remains subject to definitive agreements, committee and shareholder approvals, and other closing conditions, so it may not be completed. The proposed business spans AI robotics platforms, devices, industrial productivity solutions and data services; Faraday Future said its robots had cumulative shipments of 552 units through August and a roughly 30.9% gross margin in its unaudited second-quarter 2026 results. The agreement reportedly sets a capped share price and an 18-month lock-up, while the final terms and potential dilution remain uncertain.
Faraday Future said its FF EAI Robot World 2.0 lineup includes three robot forms, five product series, 11 models and 24 products, all available for sale and delivery.
The proposed deal sets a per-share price cap of $2.246; if the relevant market price is below that level, the arrangement could include a special stock dividend, subject to closing and tax review.
The robotics operation is described as a “Four-Core Full-Stack AI” ecosystem: the EAI Brain and Developer Platform, EAI Devices, Industry Productivity Solutions and the EAI Data Factory.
The TradingView report characterizes the proposed transaction as a related-party deal and notes that the final share issuance and pro forma metrics have not been detailed, leaving the potential dilution unclear.
