Critical One Energy Secures Upsized CDN$6.875 Million Flow-Through Financing for Howells Lake Project

Critical One Energy Inc. has upsized its private placement to CDN$6,875,000, up from the amount announced on July 21, 2026. The company will now issue up to 6,250,000 flow-through common shares at CDN$1.10 per share, according to Cold Lake Sun.
The financing was oversubscribed, signaling strong investor demand. The funds will keep Critical One drilling at its Howells Lake Antimony-Gold Project through the end of 2027.
Critical One first announced a smaller private placement on July 21, 2026. Strong investor interest forced the company to upsize the deal. The final raise now stands at up to CDN$6,875,000. That is a meaningful jump from the original offering size, according to Recorder.
The offering is non-brokered, meaning no investment bank is managing the deal. The company may still pay cash finder's fees of up to 6.0% of gross proceeds to eligible finders who bring in investors. That keeps deal costs lean while still rewarding those who sourced capital.
The shares being sold are "flow-through" shares. That is a Canadian tax structure where exploration costs are passed from the company to investors. Investors can then deduct those costs from their own taxable income. The spending must qualify as "flow-through mining expenditures" under Canada's Income Tax Act, according to Fairview Post.
This structure makes the shares more attractive to Canadian investors in higher tax brackets. It is a common tool for junior mining companies raising money for exploration. The CDN$1.10 per share price reflects that added tax benefit built into the offering.
All proceeds go directly into exploration at the Howells Lake Antimony-Gold Project. The company says this capital will fund continued drilling and advance the project through to the end of 2027. Antimony is a critical mineral used in batteries, flame retardants, and military applications, according to Mitchell Advocate.
