Nscale Files for US IPO Valued Up to $35 Billion

Nscale’s board includes former UK deputy prime minister Nick Clegg and former Meta executive Sheryl Sandberg.
The company has raised $3.7 billion in equity and more than $5 billion in debt, according to Dealroom, in addition to its March funding round that valued Nscale at $14.6 billion.
Nscale plans to let UK retail investors buy shares at the same price as existing shareholders through the RetailBook investment platform.
Nscale employs about 450 people in the UK and was spun out of Australian bitcoin-mining infrastructure company Arkon Energy in 2024.
Nvidia CEO Jensen Huang called Nscale a “national champion for the UK,” while Nvidia said it planned to invest £500 million in the company; Nscale also has Microsoft among its partners.
Nvidia-backed AI data-center company Nscale filed for a US IPO on the New York Stock Exchange, targeting a valuation as high as $35 billion. The London-based firm is riding a wave of demand for computing power needed to run artificial intelligence systems, despite growing doubts about whether AI investments will pay off Wall Street Journal. Nscale reported a $1.02 billion net loss on $140.6 million in revenue in the first half of 2024, up sharply from just $10.4 million in revenue a year earlier.
The company operates about 25,000 active graphics processing units (GPUs) under contract for clients. Goldman Sachs, JPMorgan and Morgan Stanley are leading the IPO. Nscale will remain based in the UK and allow British retail investors to buy shares at the same price as big institutional buyers TipRanks.
Nscale was spun out of Arkon Energy, an Australian bitcoin-mining infrastructure company, in 2024. The shift reflects how the same hardware and expertise used for cryptocurrency can now power the booming AI sector. Yet revenue jumped more than 13 times year-over-year to $140.6 million Quartr. The gap shows how expensive it is to build and operate data centers packed with cutting-edge GPU chips.
The company is betting that its pipeline of future deals will justify the losses. Yahoo Finance reported that Nscale's pipeline now exceeds $100 billion in potential contracts. If even a fraction of those deals close, the company could swing to profitability and validate its IPO valuation.
Nscale's IPO comes at a pivotal moment for AI. Tech giants like Meta and Amazon are spending tens of billions to build data-center capacity. Finimize noted the company is seeking roughly $30 billion in valuation, a massive bet on sustained AI demand. Backers include Norwegian investment firm Aker, Dell, and Nokia, signaling confidence beyond just Nvidia TipRanks.
Yet skeptics worry the AI boom may cool if spending doesn't translate to real business gains. Nscale's IPO will test whether investors still believe in the infrastructure play, or if concerns about an AI slowdown will dampen appetite for its shares at a $35 billion valuation.
