BHEL and Titagarh Form Joint Venture to Maintain Vande Bharat Trains

The joint venture had been proposed earlier, with BHEL disclosing the planned partnership on March 19, 2026; Titagarh also cited earlier disclosures dated March 2 and April 11, 2023.
The 80-trainset Indian Railways project also includes upgrades to government manufacturing units and trainset depots, in addition to manufacturing and 35-year maintenance.
BHEL said the proposed joint venture is a domestic arrangement and is not classified as a related-party transaction; the agreement also involves no interest from promoters or promoter groups.
The partnership is intended to expand Titagarh Rail Systems’ role across the rolling-stock value chain, from manufacturing into long-term maintenance and lifecycle support for passenger trains.
BHEL’s shares fell 4.21% to ₹412.85 on the day of the announcement, underperforming the NSE Nifty 50, which declined 1.19%.
Bharat Heavy Electricals Ltd. and Titagarh Rail Systems Ltd. have signed a joint venture agreement to maintain 80 Vande Bharat sleeper trains for 35 years, MetroRailNews reported. The two companies will split ownership 50:50 in a private limited company with an initial capital of ₹50 lakh. The partnership supports India Railways' broader ₹24,000 crore project to manufacture and service the new trainsets.
The venture combines BHEL's engineering expertise with Titagarh's manufacturing and maintenance capabilities. BHEL said the arrangement is domestic and involves no related-party concerns. However, TipRanks noted BHEL's stock fell 4.21% to ₹412.85 on announcement day, underperforming the NSE Nifty 50's 1.19% decline.
The joint venture will be headquartered in Delhi with two directors from each partner company. Sahi.com confirmed the 50:50 split ownership structure means both BHEL and Titagarh hold equal stakes. The initial paid-up capital of ₹50 lakh provides startup funding for the maintenance operations across the 80-trainset fleet.
The 35-year maintenance commitment ensures the trains remain operational and safe throughout their service lives. MetroRailNews stated the partnership was designed to handle comprehensive upkeep. This long-term horizon allows both companies to plan stable, predictable revenue streams while serving Indian Railways' passenger transport needs.
The venture marks a strategic shift for Titagarh Rail Systems. WhalesBook noted the company now moves from building trains to maintaining them over decades. This expands Titagarh's role across the full rolling-stock value chain—from factory production through end-of-life support.
BHEL brings heavy electrical systems expertise to the partnership. BusinessUpturn explained the collaboration pairs BHEL's technical know-how with Titagarh's operational experience. Together they will handle everything from electrical systems to mechanical components, keeping the Vande Bharat sleeper trains in peak condition.
This maintenance contract sits within a massive Indian Railways initiative worth ₹24,000 crore. TipRanks reported the full project includes manufacturing 80 new trainsets, upgrading government facilities, and modernizing depot infrastructure. The Vande Bharat sleeper trains represent the next generation of India's passenger rail network.
The 35-year maintenance arrangement ensures continuity as the new trains roll into service. MetroRailNews confirmed the project encompasses both trainset production and long-term lifecycle support. This integrated approach locks in technical expertise and accountability across manufacturing, deployment, and sustained operations.
