Major institutional investors file regulatory takeover code disclosures for Rotork and Ashtead.

Regulatory filings dated September 28–29 disclosed securities positions or dealings under Rule 8.3 of the Takeover Code in Rotork and Ashtead Technology Holdings. Squarepoint Operations, Aberdeen Group, L&G Asset Management and Hudson Bay Capital filed disclosures concerning Rotork, while a separate RNS notice reported a change in voting rights or financial-instrument holdings in the company. Filings concerning Ashtead Technology named P Squared Asset Management, JPMorgan Asset Management, Barclays, Schroders and FIL Limited. The extracts do not provide enough information to quantify the holdings or determine the direction and scale of the reported dealings.
The Rule 8.3 forms are for persons with interests in relevant securities representing 1% or more, and require disclosure of all interests and short positions.
The forms direct filers to provide details of open stock-settled derivatives, including traded options, or agreements to buy or sell relevant securities on a Supplemental Form 8.
The separate Rotork RNS notice distinguishes voting rights from financial instruments, including instruments with a similar economic effect, as categories for reporting positions.
The Rule 8.3 form instructions say that, where interests are held through a trust, the trustee or trustees, settlor and beneficiaries must be named; identifying only a nominee or vehicle company is not sufficient.
