Rentokil Agrees to Sell SOLitude Lake Management to Bain Capital for $230 Million

SOLitude provides ongoing lake and pond management, shoreline restoration and water-quality control, drawing on more than 50 years of combined experience to address ecological challenges.
Bain Capital partner Jacob Donnelly said rising water temperatures, nutrient runoff and invasive species are increasing pressure on freshwater ecosystems, adding that SOLitude combines certified aquatic biologists with a national field organization serving communities, municipalities and property owners.
Rentokil said the divestiture is intended to accelerate growth while improving margins and free cash flow, as part of a broader effort to prioritize its highest-opportunity markets and categories.
Goldman Sachs advised Rentokil on the transaction, which requires Hart-Scott-Rodino antitrust clearance in the United States.
Rentokil’s shares were modestly higher after the announcement, rising about 0.3% to roughly 318.6 pence in early London trading.
Rentokil Initial is selling its U.S. lake and pond management business, SOLitude Lake Management, to Bain Capital for $230 million. Market Screener reported the deal will generate about $180 million in net proceeds after taxes and help reduce Rentokil's debt. The sale includes SOLitude's Vertex Aquatic Solutions division and is expected to close in late 2026, pending U.S. antitrust approval.
SOLitude reported $112 million in revenue and $16 million in adjusted operating profit in 2025. The business manages lakes and ponds across the United States, handles shoreline restoration, and controls water quality. Rentokil says the divestiture will let the company focus on higher-growth markets and improve cash flow for acquisitions and shareholder returns.
Freshwater ecosystems face mounting pressure from rising water temperatures, nutrient runoff, and invasive species. Market Screener noted that Bain Capital partner Jacob Donnelly emphasized these growing challenges. SOLitude combines certified aquatic biologists with a nationwide field team serving communities, municipalities, and property owners across the country.
Rentokil has been simplifying its portfolio to focus on core growth areas. The $230 million sale allows the company to redirect capital toward organic expansion, strategic acquisitions, and shareholder returns. Market Screener reported the deal is structured on a cash-free, debt-free basis, maximizing the net proceeds Rentokil receives.
The divestiture aims to improve operating margins and free cash flow by removing a business outside Rentokil's strategic priorities. Selling SOLitude lets management concentrate resources on segments with better growth potential and profitability.
The transaction requires Hart-Scott-Rodino antitrust clearance from U.S. regulators before it can complete. Market Screener indicated the deal is expected to close in the fourth quarter of 2026. Goldman Sachs advised Rentokil on the sale and negotiation with Bain Capital.
Rentokil's stock rose modestly on the announcement, gaining about 0.3% to 318.6 pence in early London trading. Investors viewed the divestiture as a positive step toward a leaner, more focused company.
