Kenmare Resources confirms receiving an unapproved cash takeover approach from International Resources Holdings.

Before the approach was confirmed, Kenmare shares closed at €2.14, giving the company a market valuation of about €190.94 million.
Kenmare said it made its announcement confirming the approach without IRH’s approval; under the Irish Takeover Rules, the November 17 deadline can be extended only with the consent of the Irish Takeover Panel.
The approach triggers disclosure obligations for investors holding 1% or more of relevant securities during the offer period.
Kenmare’s ilmenite, rutile and zircon are used as raw materials in products such as paints, plastics and ceramic tiles.
Kenmare Resources confirmed it received a non-binding cash takeover proposal from International Resources Holdings for all its shares, with no price disclosed yet. Share Talk reported the Dublin-listed mining company trades at €2.14 per share, valuing the firm at approximately €190.94 million. Discussions are ongoing, but Kenmare warned there is no certainty IRH will make a firm offer or what its terms might be.
Under Irish takeover rules, IRH has until November 17, 2026, to either announce a firm intention to bid or walk away. RTT News noted Kenmare made the announcement without IRH's approval, as required by disclosure obligations. The deadline can only be extended with approval from the Irish Takeover Panel.
Kenmare operates the Moma mine in Mozambique and produces titanium minerals including ilmenite, rutile, and zircon. Ask Traders explained these raw materials go into paints, plastics, and ceramic tiles — everyday products found in homes and factories worldwide. The company's products serve as essential inputs for manufacturers across multiple industries.
The non-binding proposal triggers a formal process under Irish law. UK Finance Yahoo confirmed IRH has until November 17, 2026 — roughly 18 months from now — to either make a binding offer or announce it will not proceed. During this period, investors holding 1% or more of relevant securities must disclose their positions.
The proposal remains highly preliminary with no offer price revealed. ADVFN reported Kenmare disclosed the approach to comply with Irish Takeover Rules, not because a deal is certain. The company explicitly cautioned investors that negotiations are early-stage and terms remain uncertain.
