Medtronic launches a discounted exchange offer to divest its remaining MiniMed stake.

The exchange offer covers up to 225.4 million MiniMed shares. If demand exceeds the initial amount available, Medtronic may exchange an additional 27.45 million shares, potentially allowing it to divest its entire remaining MiniMed stake.
Medtronic currently owns 252,813,348 MiniMed shares, representing approximately 90% of MiniMed’s outstanding stock.
Medtronic plans to announce the final exchange ratio by 9 a.m. New York time on the trading day immediately before expiration, with an indicative daily ratio available during the offer period at dfking.com/MDTSeparation.
If the exchange offer does not attract sufficient participation, Medtronic said it could use a spin-off, split-off, debt-for-equity exchange or a combination of those methods to dispose of its remaining MiniMed shares.
Medtronic is offering shareholders a chance to swap their stock for MiniMed shares at a 7% discount, marking the final push to separate its former diabetes business. Mass Device reports that shareholders can exchange their Medtronic shares for MiniMed stock, with each $100 of Medtronic shares expected to yield about $107.53 in MiniMed value. The offer runs until October 9, 2026, and could allow Medtronic to shed its remaining 90% stake in MiniMed, which went public in March 2026.
The exchange offer covers up to 225.4 million MiniMed shares, with a maximum ratio of 4.5939 MiniMed shares per Medtronic share MPO Magazine reports. If demand exceeds initial supply, Medtronic can exchange an additional 27.45 million shares to divest its entire remaining stake. The transaction is expected to be tax-free for U.S. investors and aims to give MiniMed greater independence while letting Medtronic focus on cardiovascular, neuroscience, and surgical businesses.
Medtronic shareholders can trade their ordinary shares for MiniMed stock at a predetermined discount until October 9. Aktien Sensor explains that the structured exchange offer allows shareholders to convert holdings directly into MiniMed shares. Final pricing depends on the volume-weighted average prices of both stocks during three trading days in early October, with Medtronic announcing the exact exchange ratio at 9 a.m. New York time on the day before expiration.
The 7% discount incentivizes participation without requiring a traditional cash payment. Shareholders receive $107.53 in MiniMed stock value for every $100 of Medtronic shares they surrender. The offer is designed to be generally tax-free for U.S. federal income tax purposes, making it attractive to long-term investors seeking a clean separation without immediate tax consequences.
Medtronic spun MiniMed into a separate company through a $560 million IPO in March 2026, but kept about 90% ownership. NASDAQ reports that MiniMed filed a Form S-4 registration statement with the SEC in connection with the exchange offer. By completing this separation, Medtronic can shift focus to its core cardiovascular, neuroscience, and surgical divisions, which represent higher-growth markets for the medical device giant.
The timing allows MiniMed to operate with greater autonomy and access capital markets on its own terms. Drug Delivery Business notes that divesting at least 80.1% of MiniMed's stock is the goal, though Medtronic will own about 252.8 million shares before the offer begins. Even after exchanging 225.4 million shares, Medtronic could retain a small stake if the offer falls short of maximum participation targets.
Medtronic has contingency strategies if shareholders don't exchange enough shares to meet the 80.1% separation target. The company said it may use a spin-off, split-off, debt-for-equity swap, or a combination of methods to dispose of remaining MiniMed shares. These alternatives ensure Medtronic can complete the separation regardless of exchange offer uptake.
