Madison Dearborn Agrees to Acquire The Marygold Companies for $2 a Share

Madison Dearborn Partners agreed to acquire all outstanding shares of The Marygold Companies for $2 each in an all-cash deal, a roughly 100% premium to the company’s prior closing price, taking Marygold private. Marygold owns USCF Investments, the parent of United States Commodity Funds, and the companies plan to refocus Marygold on USCF’s commodity-focused funds; USCF has about $6 billion in assets under management. Marygold’s board unanimously approved the deal, and shareholders holding about 75% of the shares, including outgoing CEO Nicholas Gerber, agreed to support it. Tim Rotolo was named to succeed Gerber as CEO and will work with Madison Dearborn and USCF leadership to expand the ETF platform. Closing is expected in the first half of 2027 or earlier, subject to shareholder, regulatory and other approvals; Marygold would then be delisted from the NYSE, though completion is not assured.
Before the acquisition, Marygold operated across several businesses beyond financial services, including food manufacturing, printing and beauty products.
Marygold shares rose 92% to $1.92 in premarket trading after the deal was announced.
USCF Investments is the holding company of United States Commodity Funds and serves as the general partner of the United States 12 Month Natural Gas Fund.
