Schneider Electric agrees to buy software firm PTC in an all-cash deal worth $22.6 billion.

France's Schneider Electric agreed to buy U.S. software company PTC for $22.6 billion in an all-cash deal, Reuters reported Monday. The French conglomerate will pay $205 per share, marking one of the largest industrial software acquisitions ever.
Schneider Electric is acquiring PTC to expand its footprint in engineering software. PTC develops tools that help manufacturers design products, manage operations, and optimize production. The deal values PTC's enterprise value at $23.7 billion, Bloomberg noted.
Schneider Electric committed $205 per share in cash, bypassing any stock swap. This all-cash structure suggests the French conglomerate has high conviction in PTC's strategic value and the deal's long-term potential. The purchase represents Schneider's largest acquisition to date.
The transaction is expected to close by the third quarter of next year, Market Screener reported. Schneider Electric and PTC will need to clear regulatory approval and other standard closing conditions before the deal becomes final.
