Forward Industries plans a $25 million share offering to fund Solana purchases.

Chief Investment Officer Ryan Navi said the financing is intended to expand Forward’s SOL treasury while increasing SOL per fully diluted share, which he described as “the measure of growth that matters most to our shareholders.”
Forward said the financing would strengthen its ability to pursue opportunities from a position of financial strength and extend its competitive lead, while emphasizing disciplined capital allocation and long-term shareholder value.
The shares are being issued under Forward’s effective shelf registration statement on Form S-3ASR, file No. 333-290312, which the Securities and Exchange Commission declared effective on September 17, 2025; the company said a prospectus supplement would be filed with the SEC.
Forward launched its digital-asset treasury strategy in September 2025 following a private placement transaction, and describes the strategy as acquiring, holding, staking and trading SOL and related digital assets.
