Definium Therapeutics Grants Inducement Stock Options to Six Newly Hired Employees

Definium Therapeutics has granted stock options to six newly hired non-executive employees, covering a total of 115,600 common shares, according to National Post. The Nasdaq-listed biopharmaceutical company approved the grants on August 2, 2026, through its Compensation Committee.
The options are priced at the closing share price on the grant date. They vest over four years — 25% after the first year, with the rest paid out monthly over the following three years, Edmonton Sun reported.
Each of the six employees will receive stock options as part of their hiring package. After one year, they can exercise 25% of their options. The remaining 75% unlocks in equal monthly portions over the next three years, Leader Post noted. This structure is common in biotech to keep new hires invested in the company's long-term success.
The exercise price is set at the closing stock price on the day the grants were issued. That means employees profit only if the share price rises above that level after they join, The Province reported.
The grants were issued under Rule 5635(c)(4) of the Nasdaq Stock Market, according to Woodstock Sentinel Review. This rule lets companies give stock options to new employees as an inducement to join — without needing a shareholder vote. It is a standard tool used by public companies to attract talent.
Definium's Compensation Committee approved the grants directly. The rule requires the grants to be a material inducement for the employee accepting the job offer, The Whig reported.
