Alpha Compute Secures $47 Million in Financing for Pennsylvania AI Data Center

Alpha Compute, a vertically integrated AI infrastructure company, has secured $47 million in Seller Financing for its planned 200MW Pennsylvania AI Data Center Campus. The transaction involves a First Amendment to the Binding Term Sheet and Exclusive Option governing the property acquisition, reducing the cash needed to deploy at closing. The base purchase price remains unchanged at $47, with the remaining cash being provided through a seller note issued by the acquiring entity. The seller note carries principal terms such as fixed interest at 6.00% per annum, payable monthly in arrears, with no scheduled amortization or cash sweep. Data center, power generation and compute assets are excluded from the collateral. The property consists of two contiguous surface parcels of approximately 155 acres and approximately 88 acres, with an approximately 107-acre property held for future development. The design of the campus includes an initial 200 MW of power and data center capacity, with potential expansion to 1 GW.
