G3 Goldfields Finalizes Spin-Out Transaction, Acquiring Puruni Project in Guyana

G3 Goldfields Inc. has completed its spin-out from G2 Goldfields, taking ownership of the Puruni gold project in Guyana, according to Chatham Daily News. The deal gives G3 a C$45 million cash cushion to start operations as a standalone company.
The transaction was structured as a plan of arrangement under the Canada Business Corporations Act, involving G3, G2, and G Mining Ventures Corp. (GMIN), Northern News reported. G3 also holds a contingent value right that could deliver up to US$200 million in future payments.
The Puruni project is the central asset in this deal. G3 acquired G2's full interest in the Guyana-based gold property as part of the arrangement. Guyana has become a growing destination for mining investment in recent years, attracting companies with its mineral-rich geology and expanding resource sector.
G3 now holds that asset independently, backed by C$45 million in starting capital. That cash gives the new company room to advance exploration and development work without immediately needing to raise fresh funds from markets, Paris Star Online noted.
Beyond the upfront cash, G3 received a contingent value right as part of the deal. This is a financial instrument that pays out only if certain conditions are met in the future. In this case, the maximum payout is capped at US$200 million in aggregate, according to Stratford Beacon Herald.
Contingent value rights are often used in mining and merger deals to bridge valuation gaps between buyers and sellers. They allow a company to receive more money later if a project or asset hits specific milestones, without requiring the acquirer to pay that full amount upfront.
G3 has applied to list its shares on the Canadian Securities Exchange (CSE) under the ticker symbol "GTRE", Shoreline Beacon reported. The CSE is a Canadian stock exchange that often hosts junior mining and exploration companies at earlier stages of development.
The company said it will give more guidance on the timing of the listing at a later date. No specific launch date has been announced yet. Investors and shareholders will need to wait for further updates before G3 shares begin trading publicly.
The spin-out clears the path for G2 Goldfields and G Mining Ventures Corp. to focus on their own separate priorities. G2 had previously been advancing the Puruni project alongside other assets. By spinning it out into G3, the companies have separated the Guyana asset into a dedicated vehicle, according to Chatham Daily News.
This type of corporate restructuring is common in the mining sector. Companies often spin out early-stage projects to unlock value, attract specialized investors, and give management teams a sharper focus. G3 now operates as an independent entity with its own board, capital, and growth strategy.
