Tata Trust Trustees Ask Regulator to Investigate Governance and Tata Sons Involvement

Sir Dorabji Tata Trust (SDTT) trustees Venu Srinivasan and Vijay Singh have asked Maharashtra’s Charity Commissioner to investigate the trusts’ governance and their involvement in Tata Sons’ commercial and strategic affairs, warning that such involvement could threaten the charitable trust’s status. Srinivasan’s complaint questions Noel Tata’s status as a perpetual trustee and chairman of Tata Trusts, Neville Tata’s appointment as an SDTT trustee, and Srinivasan’s alleged exclusion from related decisions. He has also sought interim limits on trust decisions and on Noel Tata’s participation in specified Tata Sons matters, including a freeze on changes to SDTT’s composition while an inquiry is pending; he has asked the regulator to consider action against trustees if wrongdoing is found. Tata Trusts has asked to be heard before the regulator acts on the complaint and is considering whether to file a caveat to prevent interim orders without its participation.
SDTT Vice Chairman Vijay Singh filed a separate request for an immediate inquiry, warning that the trust’s involvement in Tata Sons’ business could expose its assets to substantial tax liabilities. He also alleged interference with the independent decision-making of nominee directors on Tata Sons’ board.
Singh cited Tata Trusts’ September 17 statements about two specific Tata Sons matters: a decision by SDTT and SRTT that Tata Sons should remain unlisted, and a proposal to provide liquidity to the Shapoorji Pallonji Group through a potential buyout.
Srinivasan objected to a September 16 circular resolution that sought to stop him, as a joint trust nominee director, from participating in or voting on Tata Sons’ proposed listing. He called it an “extraordinary attempt” to limit his independent judgment.
Separately, Tata Trusts had proposed reorganising Tata Sons through the merger of Tata Electronics Systems Solutions and Tata Consulting Engineers into the holding company, and asked the Tata Sons board to seek the RBI’s no-objection certificate.
