Primary Hydrogen Shareholders Approve All Meeting Resolutions

Primary Hydrogen’s exploration portfolio covers more than 740 acres in the United States and 230 square kilometers in Canada, including the Blakelock, Hopkins, Mary’s Harbour, Point Rosie, Crooked Amphibolite, Coquihalla and Cogburn projects.
The company also holds an option to acquire a 75% interest in the Wicheeda North hydrogen-rare-earth-elements project in British Columbia.
The meeting’s materials were based on the company’s Notice of Meeting and Information Circular dated July 31, 2026, and the release said all proposals were approved by the requisite majority of votes cast.
The release did not provide individual vote tallies for the director candidates or disclose the auditors’ specific remuneration; it stated only that auditor compensation would be fixed by the board.
Primary Hydrogen shareholders approved all resolutions at their September 15, 2026 annual meeting, with 911,489 shares voted representing 12.29% of outstanding shares. The four-member board — David Jackson, Benjamin Asuncion, William Timothy Heenan, and Martin Kowcun — was re-elected for another term. TipRanks noted that shareholders also backed a new omnibus equity incentive plan allowing up to 10% equity allocation.
All four incumbent directors retained their seats without opposition. DMCL Chartered Professional Accountants was re-appointed as the company's external auditor, though specific compensation details were not disclosed. The board will determine auditor fees separately.
Shareholders approved a new omnibus equity incentive plan with rolling and fixed limits totaling up to 10% of outstanding shares. This plan will give the board flexibility to grant stock options and awards to employees and consultants over the coming year.
Primary Hydrogen holds exploration rights across more than 740 acres in the United States and 230 square kilometers in Canada. Key projects include Blakelock, Hopkins, Mary's Harbour, Point Rosie, Crooked Amphibolite, Coquihala, and Cogburn. The company also has an option to acquire 75% of the Wicheeda North hydrogen-rare-earth-elements project in British Columbia, positioning itself in both energy and critical minerals exploration.
The 12.29% voting turnout aligns with broader patterns in junior mining and energy sector shareholder meetings. TipRanks reported similar approval rates across other 2026 AGMs, where routine resolutions typically pass with wide margins when there is no shareholder opposition.
