Prospera Energy Announces Private Placement Financing to Raise Up to $12 Million

Prospera Energy Inc. (TSXV: PEI) (OTC Pink: GXRFF) has announced a non-brokered private placement of up to 400,000,000 units at $0.03 per unit for aggregate gross proceeds of upto $12.0 million. The offering carries the same terms announced on August 29th, 2026 and is being filed with the TSX Venture Exchange as a new private placement in accordance with Exchange policy. The securities will be offered to qualified purchasers in accordance to exemptions from prospectus and registration requirements of applicable securities legislation. All securities issued under the Offering will be subject to a statutory hold period of four months and one day from the date of closing in accordancewith applicable Canadian securities laws. The Offering remains subject to approval of the TSV Exchange.
