Alpha Modus plans $200M Bitcoin addition

Alpha Modus went public via a SPAC-style business combination that closed in December 2024; as of mid-2026 the stock (AMOD) trades on Nasdaq around $3.80 per share and the company remains pre-revenue with roughly a $19 million market cap.
The planned PIPE financing would issue 51,621,560 shares of Class A common stock and 51,621,560 warrants for an aggregate purchase price payable in Bitcoin of 3,170 BTC, with warrants exercisable at $4.36 per share.
The financing agreement requires a Registration Statement to be filed within 15 days of closing to register the Shares for resale by the investors, and it obligates the company to include shares issuable under the Warrants in the Registration Statement under a Registration Rights Agreement.
Operationally, Alpha Modus is expanding its Alpha Cash ‘phygital’ platform with a national pilot of about 100 kiosks in Texas and plans for multi-state licensing (including North Carolina in 2026), supported by its retail AI technology patents.
"We considered pursuing this strategy when Bitcoin was near record highs, and decided that timing was not optimal. Today, we have an opportunity to add more than 3,170 Bitcoin assets to our balance sheet, materially strengthen shareholder equity and address our outstanding Nasdaq listing deficiency," said William Alessi, Alpha Modus CEO.
Alpha Modus Holdings, a pre-revenue AI company with a $19 million market cap, is adding over $200 million in Bitcoin to its balance sheet through a PIPE financing deal. The company will issue 51.6 million shares and 51.6 million warrants in exchange for 3,170 Bitcoin, a haul that dwarfs its current market value Yahoo Finance.
CEO William Alessi said the company considered this strategy when Bitcoin was near record highs but found better timing now. The move aims to strengthen shareholder equity and address Nasdaq listing deficiencies while the company expands its Alpha Cash retail platform Yahoo Finance.
Alpha Modus went public via SPAC in December 2024. The stock trades around $3.80 per share on Nasdaq under ticker AMOD. The company has zero revenue but is now adding Bitcoin worth 10 times its entire market cap. This financing will issue warrants exercisable at $4.36 per share Yahoo Finance.
The deal requires the company to file a Registration Statement within 15 days of closing TradingView. Investors must be able to resell their shares under a Registration Rights Agreement. Non-U.S. investors are funding the entire 3,170 Bitcoin purchase TradingView.
Shares fell 29% after the Bitcoin transaction announcement Yahoo Finance. Investors worry about dilution from 51.6 million new shares hitting the market. The financing values Bitcoin at roughly $63,710 per coin based on the $200 million price tag Yahoo Finance.
The moomoo platform reported the deal as complete and valued at $254 million Moomoo. This suggests Bitcoin's value may have risen between announcement and closing. Either way, the new shares represent massive dilution to existing shareholders Moomoo.
The company is running a national pilot of 100 Alpha Cash kiosks in Texas. These are "phygital" machines that blend physical and digital retail services. Alpha Modus plans to expand into North Carolina and other states in 2026 Yahoo Finance.
The Bitcoin acquisition is framed as separate from the company's core business. Alpha Modus says it will not change its focus on retail AI technology and fintech services Yahoo Finance. Management is betting the crypto asset will strengthen the balance sheet while operations continue TipRanks.
