Australian Listed Companies Release 2026 Governance Statements With Mixed Diversity Results

Several Australian-listed companies disclosed their adherence to ASX corporate governance recommendations for 2026, with small boards citing company size and merit-based appointments as reasons for not setting measurable gender-diversity targets. Merino & Co. reported women held 33% of board seats and half of senior executive roles, but said neither board nor executive performance evaluations were conducted during the reporting period. Tusker Minerals likewise reported no measurable gender objectives and described annual performance reviews as part of its governance framework. Locksley Resources said the full board handles duties normally assigned to committees, while also disclosing that it did not set gender-diversity objectives. Other filings reported varying compliance: MCS Services did not fully meet the recommendation for written appointment agreements, while Desert Minerals outlined board responsibilities, director appointment checks and shareholder disclosures.
Merino & Co. reported that women made up 43% of its workforce overall, in addition to the reported board and senior-executive figures. Its three-member nomination committee is chaired by an independent non-executive director, and a majority of its members are independent.
Locksley Resources said it had written agreements with all directors and senior executives during the financial year. Its Board Charter also sets out the board’s and management’s responsibilities, the company secretary’s accountability, board performance-review arrangements and disclosure policy.
MCS Services reported full compliance with recommendations covering its board charter, pre-appointment checks and information for director elections, and the company secretary’s accountability to the board through the chair; it did not fully meet the separate recommendation on written appointment agreements.
Desert Minerals’ board retains final authority to accept, modify or reject committee recommendations. Matters reserved for board approval include issuing securities, approving or changing the annual business plan, and starting or ending business activities.
