These Terms of Service (“Terms”) form a binding agreement between you and Zeitgeist AI (“Zeitgeist,” “we,” “us,” or “our”) and govern your access to and use of our website at www.zgst.ai, our progressive web app, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to enter into these Terms, including on behalf of any organization you represent.

2. Your Account

You register and sign in through our authentication provider. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. The Service

Zeitgeist provides tools to create and manage social and news content, including a template editor, AI-assisted text and image generation, content variations, analytics, scheduling and publishing to connected platforms, campaign management, a marketplace, and messaging. We may add, change, or discontinue features at any time.

4. Your Content

You retain ownership of the content you create, upload, or submit to the Service (“Your Content”). You grant Zeitgeist AI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to resize or render), and display Your Content solely as necessary to operate, provide, and improve the Service and to carry out the actions you request (such as publishing to a connected platform). This license ends when you delete Your Content, except for residual copies retained in routine backups for a limited period.

You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe or violate the rights of any third party or any law.

5. Acceptable Use

You agree not to:

Use the Service in violation of any law or third-party right;
Upload or generate content that is unlawful, infringing, defamatory, deceptive, harassing, hateful, or otherwise objectionable;
Impersonate any person or misrepresent your affiliation;
Attempt to gain unauthorized access to, disrupt, reverse engineer, or interfere with the Service or its security;
Use the Service to send spam or to violate the terms of any connected platform; or
Use automated means to access the Service except as expressly permitted.

6. AI-Generated Content

The Service uses third-party AI providers to generate text, images, and other output based on your inputs. AI output may be inaccurate, incomplete, or similar to content generated for others, and is provided without any warranty of accuracy, originality, or fitness for a particular purpose. You are solely responsible for reviewing, editing, and verifying AI output before relying on or publishing it, and for ensuring it complies with applicable laws and platform policies.

7. Third-Party Services and Connected Accounts

The Service integrates with third-party platforms, including Meta (Instagram) and payment, analytics, and infrastructure providers. When you connect an account or use these integrations, you authorize us to access and act on the data and permissions you grant, and your use is also subject to those third parties’ terms and policies. We are not responsible for third-party services, and your relationship with them is governed by their terms. Your use of Instagram features must comply with the Meta Platform Terms.

8. Payments, Wallet, and Marketplace

Certain features require payment. Payments, wallet funding, payouts, and marketplace transactions are processed by our payment processor (Stripe), and you authorize us and Stripe to charge your selected payment method for applicable amounts and fees. Fees are stated at the point of purchase. Except where required by law or expressly stated, payments are non-refundable. You are responsible for any taxes associated with your transactions. If you transact with other users (for example, brands and creators in the marketplace), you are responsible for your dealings with them, and we are not a party to those agreements except as expressly stated.

9. Intellectual Property

The Service, including its software, design, and trademarks (such as the Zeitgeist name and logo), is owned by Zeitgeist AI or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

10. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends, though sections that by their nature should survive (such as ownership, disclaimers, limitation of liability, and governing law) will continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEITGEIST AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100).

14. Indemnification

You agree to indemnify and hold harmless Zeitgeist AI and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in State of Delaware, United States will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
